1. Who we are and what this agreement covers
Premier Creator Agency ("Premier Creator Agency," "we," "us," or "our") operates the Premier Creator Agency platform (the "Platform"), a web application that helps TikTok creators and the brands and agencies working with them manage their content pipeline: editing and clipping video, researching trending products and content angles, generating hooks and scripts, tracking deals, and scheduling posts.
These Terms of Service (the "Terms") are a legal agreement between you and Premier Creator Agency. By creating an account, signing in, or otherwise using the Platform, you agree to these Terms. If you are using the Platform on behalf of a company, agency, or other organization, you are confirming that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.
If you do not agree to these Terms, please do not use the Platform.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Platform. The Platform is intended for creators, marketers, agencies, and brands operating in a professional capacity, not for use by children.
3. Your account
To use most features of the Platform, you need an account, which you create by signing in with a Google or TikTok account through our authentication provider. You are responsible for keeping your login credentials secure and for all activity that happens under your account. Tell us right away if you believe your account has been accessed without your permission.
We may suspend or terminate your account if you violate these Terms, misuse the Platform, or if we reasonably believe your account poses a risk to Premier Creator Agency, other users, or third parties we work with.
4. What the Platform does
The Platform gives you access to a set of creator tools, including:
- Video Editor: upload a video or provide a video link, and receive automatically generated short clips, transcripts, and virality scoring for those clips. This feature is powered by a third-party video processing service.
- Content Generator: describe a product or topic, and receive AI-generated video hooks and full video scripts, grounded in research about what is currently performing well in that category. You can also build a full script around one specific hook you have already generated.
- Trends: browse a leaderboard of currently trending TikTok Shop videos by category, view fast-growing content, or search live for videos related to a product or topic.
- Deal / Inbox Manager: track brand deal conversations in one place, optionally by connecting your Gmail account so relevant emails show up alongside your deals.
- Content Calendar: plan your posting cadence, and schedule videos to publish to your TikTok account at a time you choose.
- Analytics dashboard: see your TikTok account's growth and each video's performance, if you sign in with or connect TikTok.
Features are added, changed, or removed over time as the Platform develops. We will try to give reasonable notice before removing a feature you rely on, but we do not guarantee that every feature described here or elsewhere will remain available indefinitely.
5. TikTok and third party accounts
You can sign in with TikTok, or connect TikTok from Settings, using TikTok's official APIs. TikTok shows you what the Platform will be able to access and asks for your consent first. With that consent the Platform reads your TikTok profile, account stats, and videos to show your analytics, and publishes the videos you schedule on the Content Calendar. Our Privacy Policy describes exactly what we receive, store, and delete. You can disconnect TikTok at any time from Settings.
Posting to TikTok. When you schedule a post, you choose its caption, who can see it, whether others can comment, Duet, or Stitch, and whether it promotes your own brand or a third party's. We publish it exactly as you set it up. You are responsible for what you post, and posting to TikTok is subject to TikTok's own terms and policies, including:
- the TikTok Terms of Service and Community Guidelines,
- TikTok's Music Usage Confirmation, which you agree to for each post,
- TikTok's Branded Content Policy, when you mark a post as branded content.
TikTok decides whether a post is accepted and published, and it can reject or remove content on its own. The Platform isn't endorsed by or affiliated with TikTok.
Any TikTok Shop product and video performance information shown in the Trends and Content Generator tools is sourced from third party social commerce intelligence providers (see Section 8), not from your TikTok account.
6. Content you submit
When you use the Platform, you may submit content such as videos, video links, product descriptions, product images, and text prompts ("Your Content"). You retain ownership of Your Content. By submitting it, you give Premier Creator Agency a limited license to store, process, and transmit Your Content as needed to provide the Platform's features to you, including sending relevant portions of Your Content to the third party services described in Section 8 so they can generate the results you asked for.
You are responsible for Your Content. You confirm that you have the rights needed to submit it, that it does not infringe anyone else's intellectual property or other rights, and that it complies with applicable law. Do not submit content that is unlawful, infringing, defamatory, or that you do not have permission to use, including video footage you do not own or have a license to edit and distribute.
7. AI generated output
Hooks, scripts, virality scores, and other outputs produced by the Platform's AI features are generated automatically and are provided for your review and use as a starting point. We do not guarantee that AI generated content is accurate, original, free of errors, suitable for every product or claim, or compliant with advertising, health, or other regulations that may apply to your industry or region. You are responsible for reviewing any AI generated content before publishing it, including checking any product claims, and for making sure it complies with TikTok's own community guidelines and advertising policies as well as applicable law.
8. Third party services we use
To provide the Platform, we send limited data to the following categories of third party service providers, only as needed to deliver the specific feature you are using:
- Google, for account sign in and authentication, and, only if you choose to connect it in the Deal / Inbox Manager, read only access to your Gmail inbox.
- TikTok, for signing in with TikTok, your analytics, and publishing the posts you schedule, only if you sign in with or connect TikTok (see Section 5).
- A third-party video processing provider, to generate clips, transcripts, and virality scores from videos you submit through the Video Editor.
- Third-party social commerce data and intelligence providers, to source TikTok Shop product, creator, and video performance data shown in Trends and used to ground Content Generator's research.
- Third-party AI providers, to generate hooks, scripts, and product image analysis based on the topics, product details, and images you submit.
These providers process data under their own terms and privacy practices, and Premier Creator Agency is not responsible for their independent handling of that data beyond what is disclosed in our Privacy Policy. We choose providers we believe handle data responsibly, and we do not sell Your Content to these providers or to anyone else.
9. Acceptable use
You agree not to:
- Use the Platform to violate any law or the rights of any third party.
- Attempt to gain unauthorized access to the Platform, other users' accounts, or our systems.
- Use the Platform to generate content intended to deceive, defraud, or make false or misleading claims about a product, especially in categories like health, skincare, or supplements, where claims are closely regulated.
- Interfere with the Platform's operation, including through excessive automated requests, scraping, or attempts to circumvent rate limits.
- Reverse engineer, decompile, or attempt to extract the source code of the Platform, except where applicable law gives you the right to do so.
- Resell, white-label, or provide the Platform's services to third parties as a competing or unaffiliated product without our written permission. This does not restrict using the Platform in the ordinary course of your work as an agency, marketer, or brand managing content on behalf of your own clients, which is an intended use of the Platform (see Section 1).
10. Fees and billing
Some features of the Platform may require a paid subscription or usage based fees. Where paid plans are offered, pricing, billing terms, and cancellation policies will be presented to you at the time of purchase and are incorporated into these Terms by reference.
11. Intellectual property
The Platform, including its software, design, and underlying technology, is owned by Premier Creator Agency or our licensors and is protected by intellectual property laws. Nothing in these Terms transfers any of that ownership to you. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your own creator or business purposes, subject to these Terms.
12. Disclaimers
The Platform is provided "as is" and "as available." To the fullest extent permitted by law, Premier Creator Agency disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be uninterrupted, error free, or that any generated content, trend data, or scoring will lead to any particular result, including views, sales, or engagement.
13. Limitation of liability
To the fullest extent permitted by law, Premier Creator Agency will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Platform, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or your use of the Platform will not exceed the amount you paid us in the twelve months before the claim arose, or one hundred US dollars if you have not paid us anything.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold Premier Creator Agency harmless from any claims, damages, losses, and expenses, including reasonable legal fees, arising from your use of the Platform, Your Content, or your violation of these Terms or applicable law.
15. Termination
You may stop using the Platform and delete your account at any time from Settings, which permanently deletes your data as described in our Privacy Policy. We may suspend or terminate your access to the Platform if you violate these Terms, if required by law, or if we discontinue the Platform or a specific feature. Sections of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive.
16. Changes to these Terms
We may update these Terms from time to time as the Platform evolves. If we make material changes, we will provide reasonable notice, such as an in-app notice or an email to the address on your account, before the changes take effect. Continued use of the Platform after changes take effect means you accept the updated Terms.
17. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Platform will be resolved in the courts located in that jurisdiction, unless applicable law requires otherwise.
